Terms and Conditions
These General Terms and Conditions apply to all inquiries, sample orders and bulk sales of frozen vegetables concluded between our company (Seller) and buyers (Buyer). Any order placed shall constitute acceptance of these terms.
1. Quotation & Validity
All quotations are valid for 15 days unless otherwise agreed in writing. Prices are based on agreed Incoterms (FOB / CFR / CIF). Prices do not include destination port charges, import duties, customs clearance fees, local logistics and taxes in buyer’s country.
2. Product Specification, Glaze & Weight
- Products are IQF frozen. Standard glaze rate ranges from 10% to 20% as per product type; customized glaze ratio is available upon written confirmation.
- Net weight refers to product weight excluding ice glaze and packaging. Quantity tolerance ±5% is acceptable for bulk shipments unless specified.
- All goods are produced under HACCP / ISO22000 standard. Sample quality represents bulk shipment quality. Buyer must confirm specifications, size, cut and glaze rate before placing formal orders.
3. Payment Terms
Payment terms shall be confirmed in writing on Proforma Invoice. Available terms include T/T wire transfer. Seller reserves the right to delay shipment or cancel orders if payment fails to arrive on schedule.
4. Lead Time & Shipment
- Standard production & loading lead time: 7–15 working days after receiving deposit. Exact schedule subject to raw material availability and factory arrangement.
- Shipment will be arranged via -18℃ reefer ocean container. Risk transfers to Buyer once goods are loaded on board the vessel in accordance with Incoterms 2020.
- Seller provides standard set of export documents: commercial invoice, packing list, bill of lading, health certificate, certificate of origin and quality report. Extra certificates (HALAL, FDA etc.) can be arranged upon buyer’s request with related cost borne by Buyer.
5. Inspection, Claim & Liability Boundary
- Pre-shipment inspection can be arranged at seller’s factory before loading. Buyer or appointed third party may attend inspection.
- Buyer shall inspect goods immediately after container discharge at destination port. Any quality/quantity complaint must be submitted in writing within 48 hours, attached with photos, temperature records and official survey report as supporting evidence.
- Limitation of Liability: Seller is responsible for quality issues arising from production, improper packing or loading before shipment. Seller shall NOT be liable for losses caused by:
A. Reefer breakdown, temperature deviation, cold chain interruption during sea transit (carrier’s responsibility);
- B. Customs detention, clearance delay, port congestion at destination;
- C. Improper storage, repeated thawing& refreezing after goods released to Buyer;
- D. Local market import ban, changing food regulations in buyer’s country.
6. Shelf Life & Storage
Shelf life: 18 months under continuous storage at -18℃. Buyer must maintain constant minus temperature throughout inland transportation and warehouse storage after receiving goods. Goods cannot be claimed due to shortened shelf life caused by improper storage.
7. Samples
Sample free and freight shall be borne by Buyer. Samples are non-refundable. Sample quality serves as reference for bulk orders, minor natural differences shall not be treated as quality breach.
8. Cancellation & Amendment
Any order cancellation or modification must be notified to Seller in writing. If raw materials have been purchased or production started, Buyer shall compensate Seller for incurred losses.
9. Force Majeure
Neither party shall be liable for delay or non-performance caused by events beyond reasonable control: natural disasters, epidemic, government restrictions, port congestion, shortage of raw materials, shipping line suspension. Affected party shall inform the other side promptly.
10. Governing Law & Dispute
Transactions are governed by the laws of the Republic of India. Disputes shall first be resolved through friendly negotiation. If negotiation fails, disputes shall be submitted to arbitration at the place where Seller is located.
11. Policy Revision
We reserve the right to update these Terms & Conditions without prior notice. The latest version published on website shall prevail.
